Frequently Asked Questions
What are the different types of business structures?
Businesses may operate under several different structures. The four most common types of business structures are:
- Sole trader (sole proprietorship)
- Partnership
- Trust
- Company
A sole trader is a business owned by one person (typically called the “principal”). The profit of the business is entirely attributable to the owner.
A partnership is a business operated by two or more people. At the end of each financial year, the profit or loss of the partnership is distributed to each partner in accordance with their profit-sharing ratio.
A trust is a fiduciary relationship under which a person (called the trustee) holds and administers property (assets) under the terms of a trust deed for the benefit of others (the beneficiaries). At the end of each financial year, the profit of the trust is distributed to the beneficiaries. Where the trust derives a net loss, the loss cannot be distributed to the beneficiaries but must be carried forward in the trust to be offset against future profits.
A company is a separate legal entity. The owners of the company are called shareholders, and their ownership interests are represented by shares. Shareholders appoint directors to manage the business on their behalf. In small proprietary companies, shareholders are often also the directors.
Shareholders receive a share of the company’s profits through the distribution of dividends.
Do I need to register for GST?
You must register for GST if your GST turnover exceeds $75,000 per year ($150,000 for not-for-profit organisations).
If your turnover is less than $75,000, you may voluntarily register for GST.
Ride-share drivers must register for GST regardless of their turnover.
I am a partner in a partnership. Can I receive salary or wages from the partnership?
A partnership is not a separate legal entity for income tax purposes, and a partner cannot be treated as an employee of the partnership.
Any “salary” paid to a partner is simply a method of distributing partnership income. This payment is not deductible when calculating the net partnership income or loss.
What is negative gearing, and how does it impact my tax return?
If you own an investment property and your expenses exceed your rental income, you incur a loss from that property. This is known as negative gearing.
Negative gearing can reduce your taxable income. However, the loss may be added back when calculating your Adjusted Taxable Income for certain government benefits and obligations.
What is Personal Services Income (PSI)?
Personal Services Income (PSI) is income that is mainly a reward for an individual’s personal efforts or skills. It is considered PSI regardless of whether it is earned through another entity (such as a company, trust, or partnership), whether it is for performing work or producing a result, or whether it is paid under a contract.
PSI can be earned in almost any industry, trade, or profession.
Do I need to register for an ABN?
An Australian Business Number (ABN) is a unique business identifier used for GST and other tax-related purposes. An ABN is issued by the Australian Taxation Office (ATO).
If you intend to operate a business, you generally need an ABN. The ABN applies to the individual entity (company, sole trader, trust, partnership, etc.).
If you carry on more than one business under the same entity, you will only have one ABN. However, if multiple entities are involved in running a business, each entity must have its own separate ABN.
